We’ve lost count of how many times insiders have accumulated shares in a company that goes on to improve markedly. On the other hand, we’d be remiss not to mention that insider sales have been known to precede tough periods for a business. So we’ll take a look at whether insiders have been buying or selling shares in Pharma Mar, S.A. (BME:PHM).
What Is Insider Buying?
It’s quite normal to see company insiders, such as board members, trading in company stock, from time to time. However, rules govern insider transactions, and certain disclosures are required.
Insider transactions are not the most important thing when it comes to long-term investing. But it is perfectly logical to keep tabs on what insiders are doing. As Peter Lynch said, ‘insiders might sell their shares for any number of reasons, but they buy them for only one: they think the price will rise.
The Last 12 Months Of Insider Transactions At Pharma Mar
Over the last year, we can see that the biggest insider purchase was by insider María Blanca Hernández Rodríguez for €58k worth of shares, at about €1.80 per share. So it’s clear an insider wanted to buy, at around the current price, which is €2.06. Of course they may have changed their mind. But this suggests they are optimistic. If someone buys shares at well below current prices, it’s a good sign on balance, but keep in mind they may no longer see value. Happily, the Pharma Mar insider decided to buy shares at close to current prices. María Blanca Hernández Rodríguez was the only individual insider to buy over the year.

Insider Ownership
Many investors like to check how much of a company is owned by insiders. I reckon it’s a good sign if insiders own a significant number of shares in the company. It appears that Pharma Mar insiders own 12% of the company, worth about €56m. We’ve certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
So What Does This Data Suggest About Pharma Mar Insiders?
There haven’t been any insider transactions in the last three months — that doesn’t mean much. On a brighter note, the transactions over the last year are encouraging. Insiders own shares in Pharma Mar and we see no evidence to suggest they are worried about the future. If you are like me, you may want to think about whether this company will grow or shrink.
